MCM CodeGuard — End User Licence Agreement

IMPORTANT — READ BEFORE USING THIS SOFTWARE. This agreement is a contract between you and MCM Labs, the business name under which Michael Maher, of Egypt, publishes MCM CodeGuard ("MCM Labs", "we", "us"). By installing or using MCM CodeGuard you accept it. If you do not accept it, do not install or use the software.

If you accept this agreement for a company or other organisation, you confirm that you have authority to bind it, and "you" means that organisation.

This is proprietary software. It is not open source.

1. LICENCE GRANTED

Subject to payment of any applicable fees and to your compliance with this agreement, MCM Labs grants you a non-exclusive, non-transferable licence to install and use MCM CodeGuard on computers you own or control, for the number of activations included in your plan.

A Free plan is licensed on the same terms, limited to the features and quantities published for that plan.

A Team plan permits as many activations as seats purchased. Each seat is for use by your own employees or contractors, working for you.

2. PLANS, TRIAL, AND LICENCE CHECKS

The features and limits of each plan are those published on our website and shown in the app when you buy. We may change what future plans include; a change does not reduce what a plan you have already paid for includes before its current billing period ends.

A new installation may include a free trial of a paid plan, for the period shown in the app. No payment is taken for a trial. When it ends, the software returns to the Free plan unless you have bought a licence.

A paid licence is activated with a licence key. The software checks the key with our payment provider when you activate it and about every 14 days after that. If it cannot reach the provider, it keeps working for a further 30 days before returning to the Free plan. You can deactivate a device in the app to free its activation for another.

3. PURCHASES, RENEWAL, CANCELLATION, AND REFUNDS

Licences are sold through Lemon Squeezy, which acts as the merchant of record: it is the seller of the order, takes the payment, charges any applicable tax, and issues your receipt. Its terms apply to the purchase itself. This agreement governs your use of the software.

Paid plans are subscriptions, billed monthly or yearly as you choose at checkout, and renew automatically at the end of each billing period until you cancel. You can cancel at any time from the link in your receipt email or by writing to us. Cancelling stops the next renewal; the licence stays active until the end of the period already paid for.

We will tell you at least 30 days before a price change takes effect on your subscription. It applies from your next renewal after that notice, and you may cancel before then.

If you are not satisfied, ask for a refund within 14 days of your first payment for a plan, or of a yearly renewal, and you will receive it in full. The licence key is then disabled. Later refunds are at our discretion, except where the law gives you a right to one.

Nothing in this section removes a right you have under the consumer law of the country where you live.

4. WHAT YOU MAY NOT DO

You may not: redistribute, sell, sublicense, rent, or lend the software; remove or alter any notice in it; use it to build a competing product; or circumvent its licence checks or plan limits.

You may not decompile, disassemble, or reverse engineer the software, except to the extent that law expressly permits despite this restriction.

You may not use the software to access a code repository, account, or service you are not authorised to access.

5. YOUR CODE AND YOUR DATA

MCM CodeGuard analyses source code and assets on your computer. MCM Labs claims no ownership of, and no licence to, anything you analyse.

Analysis runs locally. The software transmits your source code only to an AI provider you configure yourself, and only when you ask for a fix, an explanation, or a review. What that provider then does with it is governed by your agreement with them, not this one. The privacy policy accompanying this agreement describes every case in which the software makes a network request.

You are responsible for having the right to send code to the AI provider and the code hosts you connect — including any permission your employer or client requires — and for complying with those services' own terms.

6. CHANGES THE SOFTWARE MAKES, AND WHAT IT POSTS

MCM CodeGuard can change files in your project — optimising assets, applying fixes. It shows a preview and keeps a backup where it offers one, but do not rely on those as your only copy. You remain responsible for reviewing changes before you commit them. Use version control.

AI-generated fixes, explanations, and reviews can be wrong. When you ask the software to post a review or comments to a code host, it posts them in your name, using your credentials, and you are responsible for what is posted.

7. UPDATES

The software checks for updates about once a day and offers to install them. You can turn automatic checks off in the app menu. Updates may add, change, or remove features; section 2 protects what a paid plan includes during its current period.

8. NO WARRANTY

TO THE EXTENT THE LAW ALLOWS, THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Static analysis is heuristic. MCM CodeGuard will report findings that are not real problems, and will miss problems that are. It is not a substitute for testing, for review by a person, or for a security audit.

If you are a consumer, you may have statutory rights — for example, that digital content matches its description — which this section does not remove.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MCM LABS IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SOFTWARE.

MCM LABS' TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE AND 50 US DOLLARS.

Nothing in this agreement limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited or excluded. Where the law of your country does not allow part of this section, that part applies only to the extent it allows.

10. THIRD-PARTY TOOLS AND SERVICES

MCM CodeGuard can use tools already installed on your computer — among them git, pngquant, cwebp, SwiftLint, ktlint, and the Claude CLI. It does not include or distribute them. Each remains governed by its own licence. The accompanying NOTICE file lists them, and the one component the software does bundle.

The AI providers and code hosts you connect are run by third parties. MCM Labs does not control them and is not responsible for their availability or conduct.

11. EXPORT AND SANCTIONS

You may not use, export, or re-export the software in breach of any export control or sanctions law that applies to you or to us, or on behalf of anyone those laws prohibit.

12. TERM AND TERMINATION

This licence lasts as long as your plan does. We may end it if you materially breach it and, where the breach can be put right, you have not done so within 14 days of our notice. On termination you must stop using the paid features; sections 5, 6, 8, 9, 13, and 14 survive.

Your analysis results, backups, and configuration remain yours and on your computer. Termination does not delete them.

13. GOVERNING LAW AND DISPUTES

This agreement is governed by the laws of the Arab Republic of Egypt, and the courts of Cairo have jurisdiction over any dispute about it. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and may bring a claim in its courts.

Before starting any proceedings, write to us so that we can try to resolve the matter; we will reply within 30 days.

14. GENERAL

This agreement, with the privacy policy, is the entire agreement between us about the software. If any part of it is unenforceable, the rest remains in force. A failure to enforce a term is not a waiver of it.

MCM Labs may transfer this agreement to a successor to the business; your rights under it are not reduced by the transfer. You may not transfer it without our written consent.

MCM Labs may amend this agreement for future versions of the software. The app asks you to accept an amended version before you use it; continuing to use a version you have already licensed does not bind you to terms published later.
